Bogart Divests Israeli Retail Chain

The French Bogart Group announced the complete sale of its Israeli subsidiary, April Cosmetics and Perfumes Store Chain Ltd. The buyer is April Holding D.K. Ltd., a company owned by Bogart’s Chairman, CEO, and majority shareholder, David Konckier. Bogart’s board of directors approved this transaction on October 12, 2026.

The sale price for the Israeli beauty retailer was 20.147 million Israeli shekels, which approximates EUR 5.8 million. Bogart stated that the divestment aims to strengthen its financial standing and improve resource allocation across the group.

April's Financials and Operations

April Cosmetics and Perfumes Store Chain Ltd. operated a network of 47 stores across Israel as of June 30, 2026. In 2025, the subsidiary generated EUR 36.7 million in revenue, representing about 13.9% of Bogart’s total consolidated revenue for that year. April’s EBITDA stood at EUR 0.7 million in 2025.

The sale price was calculated based on a valuation of April Ltd. at 35 million shekels (approximately EUR 10 million), established with assistance from PwC and BDO, less the company’s net financial debt. As of September 1, 2026, April’s net financial debt was 14.853 million shekels, or approximately EUR 4.3 million.

Governance and Strategic Review

The transaction was executed by Jacques Bogart International B.V., a wholly owned subsidiary of Bogart SA. Due to David Konckier’s direct interest in the acquisition, the sale was subject to a regulated agreements procedure. Mr. Konckier informed the board of his interest and recused himself from the vote.

This divestment aligns with Bogart Group’s ongoing review of its international subsidiary structure and overall investment portfolio. The company also anticipates that the sale will facilitate the transfer of cash to Bogart SA, further supporting its financial objectives.

Konckier's Broader Acquisition Strategy

This internal restructuring by Bogart Group coincides with its Chairman and CEO, David Konckier, pursuing other significant strategic acquisitions. Mr. Konckier is currently in discussions with CK Hutchison, a Hong Kong-based conglomerate, regarding the potential acquisition of the Marionnaud perfume retail chain.

For Asian beauty industry executives, this signals a period of strategic divestment and potential acquisition activity from European players involving Asian-based entities.

Companies should note how such transactions affect market consolidation and the retail landscape, especially concerning major retail chains like Marionnaud, which holds a presence or influence in various global markets.
