Kimberly-Clark's Kenvue Acquisition Gains EU Approval
The European Union greenlit the $48.7 billion deal after Kimberly-Clark agreed to divest feminine hygiene brands to maintain competition in key European markets.

EU Approves $48.7 Billion Kenvue Acquisition
The European Union formally approved US consumer goods giant Kimberly-Clark's $48.7 billion purchase of Kenvue on Tuesday, October 13. This regulatory clearance allows Kimberly-Clark to proceed with acquiring Kenvue, a major health company that owns a broad portfolio of consumer health brands.
The approval came with a specific condition: Kimberly-Clark must sell off certain feminine hygiene brands within Europe. This measure aims to preserve competition and ensure affordable prices for consumers in the region, particularly for tampon products.
Mandatory Divestment in Europe
The European Commission, the EU's competition regulator, determined that the acquisition, as initially proposed, would have reduced competition significantly. Specifically, concerns were raised regarding the supply of tampons in Czechia, Estonia, and Slovakia.
To address these issues, Kimberly-Clark committed to selling all its tampon and other feminine hygiene brands across the European Economic Area. This includes the Kotex brand, along with its Lidie sub-brand, Camelia, and Record.
The EU subsequently approved Turkish company Dilek's acquisition of these divested brands, a move affirmed by EU competition chief Teresa Ribera as crucial for maintaining market choice and competitive pricing for women.
Expanded Portfolio for Kimberly-Clark
With the Kenvue acquisition, Kimberly-Clark significantly expands its consumer product offerings. Kimberly-Clark's current brand lineup includes Huggies diapers and Kleenex tissues. Kenvue brings a diverse array of consumer health and beauty brands, such as Neutrogena, Aveeno, Johnson's Baby, and OGX.
Additionally, Kenvue's portfolio extends to other health products like Listerine mouthwash, Tylenol painkillers, Zyrtec allergy medications, and Nicorette smoking cessation aids. This consolidation creates a more extensive global footprint for Kimberly-Clark in various consumer categories.
Impact on Asia's Beauty Sector
This acquisition is set to expand Kimberly-Clark's influence within Asia's beauty and personal care markets. Kenvue's brands, including Neutrogena, Aveeno, Johnson's Baby, and OGX, hold substantial market presence across key Asian economies like China, Japan, and Southeast Asia.
Local and regional beauty companies may experience heightened competition from this consolidated portfolio, particularly in popular segments such as skincare and haircare.
This could prompt shifts in marketing strategies, distribution networks, and product innovation efforts as the newly combined entity integrates its operations over the coming 12 to 18 months throughout the region.
